Job Summary:

The Office of General Counsel at SUNY Downstate Health Sciences University is seeking a full-time Associate Counsel, Contracts.

As a staff member of the Office of the General Counsel, the Associate Counsel will assume responsibilities to provide comprehensive legal services and guidance to DHSU on issues related to procurement, contracts, and business transactions.

In this role, the successful candidate will focus on drafting, negotiating, and managing complex healthcare-related contracts, as well as other business transactions essential to the operations of our academic medical center. The ideal candidate will possess in-depth knowledge of healthcare laws and regulations, exceptional legal acumen, and a collaborative mindset to support our mission of providing outstanding medical education, research, and patient care.

Key Responsibilities:

  • Draft, review, and negotiate various contracts, including but not limited to healthcare provider agreements, vendor contracts, research agreements, affiliation agreements, and service agreements.
  • Provide legal advice and support on business transactions, ensuring compliance with applicable federal and state laws and regulations, including procurement requirements, Stark Law, Anti-Kickback Statute, HIPAA, and other relevant regulatory requirements.
  • Collaborate with various departments, including clinical, administrative, research, and compliance teams, to ensure legal and regulatory compliance in all contractual matters.
  • Conduct due diligence and risk assessments for business transactions, identifying and mitigating potential legal risks.
  • Develop and implement policies and procedures related to contract management and business transactions to ensure efficiency and compliance.
  • Stay current with changes in healthcare laws and regulations, and provide training and guidance to internal stakeholders as needed.

Required Qualifications:

  • 5+ years of legal experience in contracts and business transactions, with a strong focus on healthcare-related matters.
  • In-depth knowledge of healthcare laws and regulations, including Stark Law, Anti­ Kickback Statute, and HIPAA.
  • Proven experience in drafting, reviewing, and negotiating complex contracts.
  • Excellent analytical, organizational, and communication skills.
  • Ability to work collaboratively with diverse teams and manage multiple priorities in a fast-paced environment.
  • High ethical standards and a commitment to maintaining confidentiality and integrity in all legal matters.

Preferred Qualifications:

  • Experience working in an academic medical center or healthcare organization.
  • Familiarity with research and affiliation agreements.
  • Demonstrated ability to handle complex legal issues and provide sound legal advice.
